These Terms of Service constitute a legally binding agreement between you and HavenDM governing your access to and use of our Instagram DM management service. By accessing or using HavenDM, you agree to be bound by these Terms.
1. Service Description
What HavenDM Does
HavenDM is a software-as-a-service (SaaS) platform that helps creators and businesses manage Instagram Direct Messages. Our Service includes:
- Unified Inbox — View and respond to Instagram DMs from a centralized dashboard
- Message Templates — Create and send pre-written responses
- 24-Hour Window Tracking — Visual indicators showing messaging window expiration
- Comment-to-DM Automation — Automatically send DMs based on comment keywords
- Message Categorization — AI-assisted sorting of messages by type
Meta Platform Integration
HavenDM operates through Meta's official Instagram Graph API. We are an independent company and are NOT affiliated with, endorsed by, or sponsored by Meta, Instagram, or Facebook.
Your use of HavenDM is also subject to:
2. Eligibility
To use HavenDM, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have a valid Instagram Business or Creator account connected to a Facebook Page
- Have authority to bind yourself (and any organization you represent) to these Terms
- Not be prohibited from using the Service under applicable law
- Not have been previously banned from HavenDM for Terms violations
3. Account Registration and Security
Account Creation
To use HavenDM, you must create an account by providing accurate, current, and complete information. You agree to update your information to keep it accurate.
Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us at security@havendm.com if you suspect unauthorized access
Instagram Connection
When you connect your Instagram account:
- You authorize us to access your Instagram data as described in our Privacy Policy
- You confirm you have authority to grant this access
- You can revoke access at any time through Settings → Connected Accounts
4. Acceptable Use Policy
Permitted Uses
You may use HavenDM to:
- Manage and respond to legitimate Instagram DMs
- Create and use message templates for genuine business communications
- Set up automated responses for frequently asked questions
- Automate comment-to-DM flows for content engagement
Prohibited Conduct
You agree NOT to use HavenDM for:
Spam and Abuse: Sending unsolicited bulk messages, messaging users who haven't initiated contact, circumventing Instagram limits, or creating fake engagement.
Harmful Content: Harassing messages, malware, phishing, illegal content, or impersonation.
Platform Violations: Violating Instagram's Terms, using prohibited automation, accessing unauthorized data, or hacking.
Fraud: Any fraudulent purpose, misrepresentation, or illegal activity.
Rate Limits and Fair Use
You agree to respect Instagram's API rate limits (200 calls per account per hour), use the Service without degrading performance for others, and not circumvent usage limits.
5. Subscription and Billing
Pricing Plans
- Solo — $19/month: 1 Instagram account, 1 user
- Pro — $29/month: 2 Instagram accounts, 1 user, Calendly integration
- Team — $49/month: 5 Instagram accounts, 3 users, team features
Prices are in US dollars and exclude applicable taxes. We may modify pricing with 30 days' notice.
Free Trial
New users receive a 14-day free trial:
- No credit card required to start
- Full access to your selected plan's features
- Converts to paid subscription if you add a payment method
- Reverts to read-only mode if no payment method added
Billing
Subscriptions are billed monthly. Payment is processed through Stripe. Failed payments may result in service suspension.
Cancellation
You may cancel at any time through Settings → Billing. Your access continues through the end of your billing period. No refunds for partial months. Data remains accessible for 30 days after cancellation.
Refunds
- Trial period: No charge, no refund needed
- First 7 days: Full refund upon request
- After 7 days: No refunds for unused time

6. Intellectual Property
Our Intellectual Property
HavenDM owns all rights to the Service, software, trademarks, and content we create. You may not copy, modify, or create derivative works without permission.
Your Content
You retain ownership of templates you create, content you send, and your Instagram account. By using HavenDM, you grant us a limited license to store and process your content to provide the Service.
Feedback
If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use that feedback.
7. Third-Party Services
Instagram/Meta
Your use of HavenDM requires an Instagram account. Meta may modify, limit, or discontinue API access, change their terms, or take action on your account. We are not responsible for Meta's actions.
Payment Processing
Payments are processed by Stripe and subject to Stripe's Terms of Service.
Integrations
If you use integrations (e.g., Calendly), you are responsible for compliance with those services' terms.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.
We do not guarantee that using HavenDM will:
- Increase your revenue, followers, or engagement
- Ensure you never miss a message
- Prevent Instagram from taking action on your account
While we use Meta's official API and comply with platform policies, we cannot guarantee Instagram won't limit your account. You use HavenDM at your own risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAVENDM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
Liability Cap: Our total liability shall not exceed the greater of (1) the amount you paid to HavenDM in the 12 months preceding the claim, or (2) $100.
10. Indemnification
You agree to indemnify and hold harmless HavenDM from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, violation of third-party rights, your content, or violation of applicable law.
11. Termination
Termination by You
You may terminate at any time by canceling your subscription or emailing support@havendm.com.
Termination by Us
We may suspend or terminate your access if you violate these Terms, engage in harmful conduct, fail to pay, or as required by law.
Effect of Termination
Upon termination, your right to use the Service ends. You remain liable for outstanding fees. We may delete your data after 30 days. Certain provisions survive termination.
12. Dispute Resolution
Informal Resolution
Before filing any legal claim, try resolving the dispute by contacting legal@havendm.com. We'll try to resolve within 60 days.
Arbitration Agreement
PLEASE READ CAREFULLY. THIS AFFECTS YOUR LEGAL RIGHTS.
You and HavenDM agree to resolve disputes through binding arbitration (not court), except for small claims and intellectual property matters. Arbitration will be conducted by JAMS. The decision is final.
CLASS ACTION WAIVER: You agree to resolve disputes only individually, not as part of any class or representative action.
Opt-Out
You may opt out of arbitration within 30 days by emailing legal@havendm.com with your name, email, and opt-out statement.
Governing Law
These Terms are governed by Delaware law. Disputes not subject to arbitration shall be resolved in Delaware courts.
13. General Provisions
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement.
- Severability: If any provision is unenforceable, the rest remain in effect.
- Waiver: Failure to enforce a right doesn't waive it.
- Assignment: You may not assign these Terms. We may assign to successors.
- Force Majeure: We're not liable for delays due to circumstances beyond our control.
- Modifications: We may modify these Terms with 7 days' email notice for material changes.
- Electronic Communications: You consent to receiving electronic communications from us.
